The deal is worth 92.6 million euros (about $100.3 million, or about 714 million yuan). Under the terms of the transaction, the transaction amount of 18.5 million euros ($20.0596 million) depends on the potential late commercialization performance of Sandoz pipeline products. Aspen expects the move to add to its annual results of about 1.8 billion South African rand ($95.89 million). The transaction was completed in the second quarter of this year (2024).

 In response to the transaction, Mr.Stephen Saad, Chief Executive Officer of AisHealth Group, said: " This acquisition is an important manifestation of the group's stated strategic objectives to further expand its business board in China. Sandoz's product pipeline, improved infrastructure and mature team will expand the business scope and capabilities of the world's second largest drug market, and lay the foundation for askin's future growth in China.”

Previously, Aspen had transferred the right to sell the four surgical anesthetic products sold in Europe to Sandoz at a cost of 55.5 million euros. In the financial year to June 2023, these drugs generated 280 million South African Rand results for Aspen.

The deal between Sandoz and Aspen is not a simple one-way acquisition, but is based on a swap agreement between Sandoz China and Aspen.

中山制剂工厂系山德士(中国)拟新成立的一家子公司(“标的公司”)，并将由山德士(中国)将剥离出来的制剂生产制造资产、生产和管理团队等整合至新公司。公司拟使用1510万美元取得标的公司100%股权。交易完成后，标的公司将成为九洲药业全资子公司。在完成对标的公司的收购后，剩余资金对标的公司进行增资，用于实施标的公司CDMO制剂改造与扩建项目。
